Eucariota Rescue Service Terms and Conditions

  1. Service Description

Eucariota Rescue is a support service aimed at solving specific challenges or issues within the Microsoft Power Platform ecosystem. The service is contracted individually for each problem the client needs to resolve.

  1. Service Contracting

The client may contract the Eucariota Rescue service when they have an immediate need to resolve a specific issue within Microsoft Power Platform.

  1. Service Duration

The service begins with the approval of the problem’s Scope by Eucariota and ends with the resolution of the specific issue described in that Scope.

  1. Contracting Process

Service Request: The client must provide a detailed description of the problem that needs to be resolved.

Scope Evaluation and Approval: Eucariota will evaluate the request and define the problem’s Scope. Once approved by both parties, the resolution process will proceed.

Problem Resolution: Eucariota will assign a team of experts to address and resolve the problem within the approved Scope.

  1. Client Responsibilities

Provide all necessary information for the proper evaluation and resolution of the problem.

Collaborate with Eucariota’s team by providing access to relevant systems and data.

Approve the Scope and any necessary modifications for the problem’s resolution.

  1. Eucariota Responsibilities

Evaluate and define the problem’s Scope in collaboration with the client.

Assign expert resources to resolve the problem within the approved Scope.

Clearly and promptly communicate the progress and resolution of the problem to the client.

  1. Service Limitations

The service is limited to resolving a single specific problem per contract.

Any changes to the original Scope must be approved by both parties and may incur additional costs.

Eucariota is not responsible for issues arising outside the approved Scope or for recurring problems not explicitly addressed in the initial contract.

The service is limited to resolving issues that impede the functionality of an application, process, or service if resolution is feasible without specific development or process reengineering.

If new development or process reengineering is required, Eucariota will notify the client via formal communication (email) and provide an estimate of additional hours and costs to resolve the underlying issue.

  1. Fees and Payments

The service fee is based on the initially approved Scope by both parties.

Depending on the case’s complexity, Eucariota reserves the right to cancel the service execution and refund the service fee to the client within 24 hours of the service contract.

The client will be informed of the estimated costs before Scope approval if the solution requires development/reengineering beyond the initial problem’s scope.

Payments will be made according to the terms agreed upon in the service contract.

  1. Confidentiality

Eucariota commits to maintaining the confidentiality of all client information accessed during the service provision.

  1. Modifications and Termination

Any modifications to these terms must be agreed upon in writing by both parties.

The client may terminate the service at any time with prior written notice, subject to payment for services rendered up to the termination date.

  1. Governing Law and Jurisdiction

These terms and conditions will be governed and interpreted according to the laws of the jurisdiction where Eucariota is headquartered (Estonia). Any dispute will be resolved in the competent courts of that jurisdiction.
